MEKanistic Therapeutics is a clinical-stage biotechnology company developing investigational cancer therapies. Our lead compound, MTX-531, and all other compounds in our pipeline are investigational drugs that have not been approved by the U.S. Food and Drug Administration (FDA), European Medicines Agency (EMA), or any other regulatory authority.

2.1 No FDA Approval

Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota. You consent to the personal jurisdiction of such courts and waive any objection to venue.

12.3 Arbitration (Optional)

Upon mutual agreement, disputes may be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Minneapolis, Minnesota.

13. Termination

MEKanistic reserves the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Request by law enforcement or regulatory authorities
• Discontinuation of the Site or any portion thereof

Upon termination, your right to use the Site will immediately cease. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) shall survive.

14. Severability and Waiver

14.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the extent necessary to make it valid and enforceable while preserving its intent.

14.2 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. MEKanistic's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MEKanistic Therapeutics regarding the use of the Site and supersede all prior or contemporaneous communications, whether oral or written.
